These Terms of Service (the "Terms") are an agreement between [Company] ("we", "us") and the business that creates an account (the "Customer", "you") for [Product name] (the "Service"). The person who accepts these Terms confirms that they are authorised to bind the Customer. The Data Processing Addendum and the Acceptable Use Policy form part of these Terms. Our Privacy Policy explains how we handle the personal information we control.
1. We provide software only
[Company] provides software only. We are not a travel agency, seller of travel, tour operator or insurance producer. We do not sell, book, price or guarantee travel or insurance, and we are not a party to any agreement between you and your clients or suppliers. You are responsible for holding every registration, licence, bond and trust account your business requires, including seller-of-travel registrations, and for the accuracy of everything you send to your clients through the Service.
2. The Service is for businesses in the United States
The Service is offered only to businesses located in the United States. By creating an account you confirm that your business is established in the United States. We may close accounts that do not meet this requirement and refund any unused prepaid fees.
3. Your account and your users
You are responsible for the people you give access to your account and for everything done under it. Keep passwords confidential, use multi-factor authentication where we offer it, and tell us promptly at [security@company.example] if you believe your account has been compromised.
4. Free trial, subscription and automatic renewal
- A free trial requires a payment card. The price, the billing period (monthly or yearly) and the trial length are shown before you start checkout.
- Your subscription renews automatically: when the trial ends, and at the end of each billing period, we charge the card on file for the next period at the price then in effect, until you cancel.
- You can cancel online at any time from the Billing page, through our payment processor's customer portal. Cancelling stops the next renewal; the Service stays available until the end of the period you have paid for, or until the end of the trial if you cancel during it, and you will not be charged.
- We send a reminder before each yearly renewal.
- Each account may use one free trial.
5. Fees and taxes
Fees are charged in US dollars in advance for each billing period and, except where the law requires otherwise, are not refundable for partial periods. Fees do not include taxes; we will add any sales, use or similar taxes we are required to collect. If a payment fails we will retry it for a limited grace period, during which the Service remains available; if it still fails, the subscription ends.
6. When a subscription ends
When your trial or subscription ends without renewal, the account is locked: you can still sign in, subscribe again and export your data, but not use the rest of the Service. For 30 days after it ends you may export everything in the account. After that we may delete the account's data as described in the Data Processing Addendum.
7. Your data
You own the data you put into the Service ("Customer Data"). You give us the rights we need to host, process and display it to provide the Service to you, and for nothing else.
You decide what information about your clients and their travelling companions you store in the Service and why. For that information you are the controller and we are your processor (service provider). We process it only to provide the Service, following your instructions and our Data Processing Addendum. We do not sell or share it, we do not combine it with other data, and we do not use it to train artificial-intelligence models.
8. Consents you must hold
You confirm that you have a lawful basis, and every notice and consent the law requires, to store your clients' information in the Service. This includes express consent before recording sensitive information such as health, accessibility or dietary requirements, and consent from a parent or guardian for information about minors.
9. Acceptable use and payment card data
You must follow the Acceptable Use Policy. In particular, do not enter payment card numbers, bank account credentials or passwords anywhere in the Service except in the payment fields provided by our payment processor. We may block content that appears to contain a card number.
10. Sanctions and export controls
You may not use the Service in, or for the benefit of anyone in, a country or region subject to comprehensive United States sanctions (at the date of this version, Cuba, Iran, North Korea and the Crimea, so-called Donetsk and so-called Luhansk regions of Ukraine), or if you or your owners are on a United States government list of restricted parties.
11. Availability and changes to the Service
We work to keep the Service available and secure, but it is provided without a guaranteed level of availability. We may change or improve features; we will not materially reduce the core functionality you pay for during a paid period without notice.
12. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, however caused. Each party's total liability arising out of or relating to these Terms is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim.
14. Indemnity
You will defend and indemnify [Company] against third-party claims arising from your travel business, including your dealings with clients and suppliers, and from information you stored in the Service without the notices or consents the law requires.
15. Term and termination
These Terms apply while you have an account. You may close your account at any time. We may suspend or close an account that breaches these Terms or the Acceptable Use Policy, or that does not pay, after notice where practicable. Sections 6, 7, 12, 13, 14 and 17 survive termination.
16. Changes to these Terms
We may update these Terms. We will tell you about material changes by email and in the Service before they take effect, and ask you to accept the new version to keep using the Service. Each version is dated at the top of this page.
17. Governing law
These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. The state and federal courts located in [State] have exclusive jurisdiction over any dispute arising from them.
